Board Resolution Authorizing Banking Services

Resolution

WHEREAS, The Art of Drinking Water Foundation (“the Foundation”) is a nonprofit organization organized and operating in accordance with its bylaws and applicable law; and

WHEREAS, the Board of Directors deems it necessary and proper for the Foundation to establish and maintain one or more bank accounts to conduct the financial affairs of the organization;

Authorization

NOW, THEREFORE, BE IT RESOLVED that the Board of Directors authorizes the Foundation to open, maintain, and close checking, savings, and other depository accounts with a financial institution selected by the Board or its designated officers.

Authorized Signers

The following officers are authorized to act on behalf of the Foundation with respect to banking matters:

Scope of Authority

Deposit and withdraw funds
Endorse checks and instruments
Execute banking documents required by the financial institution
Access account information and statements

Governance Safeguard: No single individual may authorize payments or transfers outside approved budgets or resolutions. All banking activity remains subject to Board oversight, financial policies, and internal controls.

Certification

This resolution was duly adopted by the Board of Directors of The Art of Drinking Water Foundation on 12/15/2025, and remains in effect until amended or revoked by the Board.
