Compensation Disclosure

All board service is voluntary and unpaid.

Certain individuals may also perform separate operational services in a non-board capacity and may be compensated only when approved by an independent board vote, documented in meeting minutes, and subject to required disclosure and recusal.

Any board member engaged for paid services outside their board role must disclose the arrangement, recuse from related decisions, and provide required tax documentation (e.g., W-9 for contractor payments) prior to payment, as applicable.

Conflict of Interest & Recusal

Any board member with a personal or financial interest in a matter before the Board must disclose the interest and recuse themselves from discussion and voting related to that matter, in accordance with the Foundation’s Conflict of Interest Policy.

Quorum

Fiduciary Duties

Recusal

Independent Director
A voting board member who is not related to, employed by, or financially dependent on the Founder or any compensated leader of the organization. (Definitions can vary; the Foundation follows its COI policy and disclosures.)
Officer
A board member holding an officer title (e.g., President, Vice President, Treasurer, Secretary) with additional governance responsibilities.
At-Large
A board member who serves without a designated officer role or committee chair assignment; remains a full voting member.

The official written record of board actions, including votes, approvals, disclosures, and recusals.
