Role Purpose

The Vice President & Director of Operations & Compliance supports organizational stability by ensuring systems, documentation, and practices remain compliant, consistent, and scalable as the Foundation grows.

Core Responsibilities

  • Vice President (Board): support executive leadership and governance continuity
  • Operations & Compliance (Operational): maintain operational systems and compliance readiness
  • Track policies, filings, and regulatory requirements
  • Support grant compliance and reporting readiness
  • Ensure internal processes remain documented and repeatable

Time Commitment

Consistent monthly engagement with additional time during audits, grant cycles, or regulatory updates.

What Success Looks Like

The Foundation remains compliant, organized, and board-ready, with no last-minute scrambles or gaps.

Vice President & Director of Operations & Compliance — Compensation Policy

Board governance vs. operational services clarified

Role Separation

Board duties performed as Vice President are unpaid governance responsibilities. Compensation applies only to operational services performed in a non-board capacity as Director of Operations & Compliance.

Compensation Structure

Operational Compensation (Upon Activation): $750 per month
Fixed monthly stipend for operations and compliance services; not hourly.

Funding Trigger

  • At least $10,000 in awarded grant funding or documented, unrestricted committed donations, and
  • Maintenance of three (3) months of operating reserves after stipend payment
Operating Reserves Definition: Unrestricted cash (excluding restricted funds) sufficient to cover three (3) months of average operating expenses.

Submission of a Monthly Operations & Compliance Summary. Stipend release is contingent upon submission.
