Whistleblower Policy

Protection for good-faith reporting

Purpose

The purpose of this Whistleblower Policy is to encourage board members, volunteers, contractors, and representatives of the Organization to report suspected wrongdoing without fear of retaliation.

Scope

This policy applies to:

  • Board members and officers
  • Volunteers and operational leaders
  • Independent contractors, consultants, and vendors (as applicable)

Reportable Concerns

Reportable concerns include, but are not limited to:

  • Misuse or misappropriation of funds
  • Fraud, theft, or financial irregularities
  • Violations of law or regulations
  • Conflicts of interest not properly disclosed
  • Retaliation against someone who raised a concern
  • Serious ethical violations or abuse of authority

Good-Faith Reporting

Reports should be made in good faith and with reasonable grounds for concern. Knowingly false reports or reports made with malicious intent may result in corrective action, including removal from volunteer or operational roles.

How to Report

Reports may be made verbally or in writing. The Organization will accept anonymous reports where practical; however, providing contact information may help the Organization investigate and follow up.

  • Treasurer (financial concerns)
  • An independent director (if concern involves an officer or related party)

Alternative Reporting

If the concern involves an officer or related party: report to an independent, non-family director, who will escalate to the disinterested members of the Board.

Confidentiality

Reports will be handled confidentially to the extent possible, consistent with the need to investigate, comply with law, and take appropriate corrective action.

Investigation & Response

All reports will be promptly reviewed by disinterested board members. The Board may assign an independent reviewer or committee and may consult legal or financial professionals when appropriate.

Non-Retaliation

No retaliation is permitted. The Organization prohibits retaliation against any individual who reports a concern in good faith or participates in an investigation. Retaliation is grounds for disciplinary action, removal from roles, or board action consistent with bylaws.

Documentation

The Board shall document reports, investigations, and outcomes in restricted governance records in a manner consistent with confidentiality and legal requirements.
